Terms of Service

1. Agreement to Terms

By accessing or using Business Forge AI ("Service," "Platform," or "we"), operated by Rich Thurman doing business as Business Forge AI ("Company," "us," or "our"), you ("User," "you," or "Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms govern your use of businessforge.ai, app.businessforge.ai, api.businessforge.ai, and all related services.

2. Description of Service

Business Forge AI provides a managed AI partner platform that gives Users access to a personal AI co-pilot ("Ember" or "AI Partner") powered by large language models from third-party providers including Anthropic, OpenAI, and Google. The Service includes:

• A managed AI instance provisioned on your behalf
• Persistent memory and second brain infrastructure
• Integration tools for email, calendar, messaging, and business applications
• The Business Forge AI portal for account management

3. AI Partner Disclosure

3.1 AI-Generated Content

The AI Partner generates responses, recommendations, plans, and content using large language models. This content is AI-generated and may contain errors, inaccuracies, or outdated information.

3.2 Not Professional Advice

The AI Partner does not provide legal, financial, medical, investment, or other professional advice. AI outputs should not be relied upon as a substitute for qualified professional judgment.

3.3 User Responsibility for AI Actions

You are solely responsible for any actions taken based on AI Partner recommendations, including sending emails, publishing content, making business decisions, executing code, or interacting with third-party services. Business Forge AI is not liable for outcomes resulting from AI-generated recommendations you choose to act upon.

3.4 AI Actions on Your Behalf

When you authorize the AI Partner to take actions (send emails, post to services, execute commands, call APIs), you are granting explicit authorization for those specific actions. You remain responsible for all consequences of authorized AI actions.

3.5 No Guarantee of Accuracy

We do not warrant that AI Partner outputs are accurate, complete, current, or suitable for any particular purpose.

4. Account Registration & Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials, including any API keys provided to you.

You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

API Key Security: You are responsible for keeping your Business Forge AI API keys secure. Do not share API keys publicly or embed them in client-side code. Business Forge AI is not liable for damages resulting from unauthorized use of your API keys.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable law or regulation
• Harass, abuse, threaten, or harm any person
• Generate or distribute spam, phishing, or deceptive content
• Attempt to reverse-engineer or circumvent security measures
• Use the Service to train competing AI models without written consent
• Impersonate any person or entity
• Violate the terms of any third-party platform integrated with the Service
• Generate content that is illegal, defamatory, or infringes third-party rights

6. Third-Party Services & AI Providers

The Service uses third-party AI providers (Anthropic, OpenAI, Google, OpenRouter, and others). Your use of these capabilities is subject to those providers' terms and acceptable use policies. Your conversations with the AI Partner may be processed by these providers in accordance with their privacy policies.

We are not responsible for the availability, accuracy, or content generated by third-party AI models, or for outages caused by third-party service providers.

7. Subscription & Payment

7.1 Billing

Subscriptions are billed monthly or annually in advance. You authorize us to charge your payment method on file. Pricing is listed at businessforge.ai and may change with 30 days' notice to existing subscribers.

7.2 Refunds

We offer a 7-day money-back guarantee for new subscriptions. After 7 days, payments are non-refundable except where required by law.

7.3 Non-Payment

Failure to pay will result in service suspension after a 5-day grace period, followed by account termination after 30 days of non-payment.

8. Intellectual Property

Your Content: You retain ownership of all content you create or provide through the Service. By using the Service, you grant us a limited license to process and store your content as necessary to provide the Service.

Our IP: Business Forge AI, the FORGE Framework, Ember, and related marks are owned by us. You may not use our trademarks without written permission.

AI Outputs: AI-generated content produced in response to your prompts is provided for your use. You are responsible for ensuring AI outputs do not infringe third-party rights.

9. Privacy & Data

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms. If you use the Service to process personal data of your customers or employees, you may request our Data Processing Addendum at [email protected].

10. Service Availability

We target 99% monthly uptime. The Service may be unavailable due to maintenance or circumstances beyond our control. We do not guarantee uninterrupted access.

11. Termination

By You: You may cancel your subscription at any time via the portal. Access continues through the end of your paid period.

By Us: We may suspend or terminate your account immediately if you violate these Terms.

Effect of Termination: Upon termination, your data is retained for 30 days (during which you may export it), then deleted.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSINESS FORGE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Business Forge AI, its officers, directors, and agents from any claims, damages, or expenses arising from your use of the Service, your content, your violation of these Terms, or actions taken by AI on your authorization that harm third parties.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Arizona. Disputes shall be resolved by binding arbitration in Maricopa County, Arizona, under AAA rules. You waive any right to bring claims as a class action.

16. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use after changes constitutes acceptance.
